Introducing The Sadis Summons

We are excited to announce, “The Sadis Summons,” a new blog from Sadis’s Litigation Department focusing on investor rights and business divorce litigation. The Sadis Summons will discuss business divorce disputes as well as disputes regarding investments in private & public companies, hedge funds, venture capital funds and private equity funds. Typical legal issues that will be examined include:
 
  • Fiduciary Duty Actions: Cases where a shareholder, partner, or member of an LLC has been damaged as a result of self-dealing or oppressive tactics by the officers, directors, managers, or controlling equity holders.
  • Business Divorce and Partnership Disputes: Disputes between shareholders, partners or members where one or more of the aforementioned parties seeks either to terminate the business and sell its assets, or to cash out his/her interest in the business for fair value in cash as a result of improper conduct by the other parties.
  • Appraisal and Buy-Out Rights: The rights of minority investors to opt-out or challenge a merger or similar transaction, and pursue court action for an award of the fair value of his/her investment in a corporation, LLC or LLP.
  • Securities and Investment Fraud: Cases where a person believes they are the victim of fraudulent statements or practices related to their investment in a company and have suffered damages.
  • Cross-Border Insolvency: Cases where a hedge fund or similar investment business is put into liquidation or receivership. We will address cases involving liquidators and receivers; the representation of directors in liquidation; clawback and fraudulent conveyance claims; and Chapter 15 proceedings.
