On June 23, 2022, the U.S. Securities and Exchange Commission (the “Commission”) adopted amendments that will require certain documents, which are currently filed on paper, to be filed or submitted electronically by investment advisers, institutional investment managers and others. For example, the amendments require that applications for orders under the Investment Advisers Act of 1940, as amended, and Form ADV-NR be submitted electronically.
Also, the amendments make technical changes to modernize Form 13F filings. Confidential treatment requests for Form 13F filings will now have to be submitted through EDGAR. The amendments also add optional reporting of a Financial Instrument Global Identifier for any security reported on Form 13F, as well as certain technical amendments to Form 13F that enhance the information reported.
According to the Commission, the recent amendments are intended to promote efficiency, transparency and operational resiliency.
The amendments will be effective sixty (60) days after publication on the Federal Register, except for the Form 13F amendments, which will be effective on January 3, 2023.
